The following terms and license agreement will govern the documents provided and your use of the materials. This License Agreement (this “Agreement” of this “License Agreement”) is made and effective as of the date of purchase by and between PureDropIV, LLC, a company organized and existing in Virginia with a registered address at 8280 Willow Oaks Corporate Drive, Suite 600, Fairfax, VA 22031 (“Licensor”) and the (purchaser).

1. Terms

The materials are for informational purposes only. To the fullest extent permitted by applicable law,

PureDropIV, LLC makes no representations or warranties of any kind, express or implied, regarding the use or the results of the materials in terms of correctness, accuracy, reliability, or otherwise. PureDropIV, LLC disclaims all warranties with regard to the information provided, including the implied warranty of fitness for a particular purpose, and the implied warranty of non-infringement. In no event shall PureDropIV, LLC or its staff be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption, and/or medical malpractice) arising out of the use or inability to use the materials.

2. License

A. Grant of License.

i. Subject to the terms and conditions of this Agreement, PureDropIV, LLC hereby grants you a non-exclusive, non-transferable, non-sublicensable license solely to reproduce and use the material for purposes of operating your business of providing nutrients and vitamins through intravenous therapy or infusion, provided that you will not share or distribute copies of the material outside of use within your own IV Hydration Business. The "Material" is defined as all documents provided to you in connection with IV Therapy business and start-up.

ii. PureDropIV, LLC reserves all rights not expressly granted to you hereunder. You acknowledge that you have no right to use trademarks belonging to PureDropIV, LLC or its affiliated companies.

iii. You cannot remove or obscure any existing copyright notice in its use of the material. You will abide by all copyright laws. You cannot use any copyright notices that conflict with, confuse, or negate the notices PureDropIV provides and requires hereunder. You cannot translate, recast, edit, alter, modify, or create any derivative works of the material except for purposes of the use permitted by this License.

iv. This License does not create a partnership or joint venture and neither party is authorized to act as an agent or bind the other party except as expressly stated in this Agreement. You acknowledge that you have no affiliation to or endorsement from PureDropIV, LLC

B. Disclaimers & Release. The Material is provided by Licensor on an “as is” basis. The material has not been prepared to meet any specific requirements of any party, including any requirements of Licensee; and b. it is, therefore, the responsibility of the Licensee to ensure that the material meets its own individual requirements.

C. Payment. As consideration in full for the License, you will pay a one-time fee in the amount of the cost of the material. No refund will be granted for purchased electronic documents.

D. Term and Termination. The term of the License commences as of the date of your purchase of the materials and continues indefinitely, unless terminated by PureDropIV, for any reason.

E. No Assignment. You may not assign, delegate, sublicense or transfer this agreement or any rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of PureDropIV, LLC.

This Agreement contains the entire agreement between the Parties and supersedes any previous understanding, commitments, or agreements, oral or written. Further, this Agreement may not be modified, changed, or otherwise altered in any respect except by a written agreement signed by both Parties.
